Terms of Service

These Terms of Service ("Terms") govern your use of operonailabs.com and the services provided by Operon AI Labs, a brand owned and operated by Divnix Systems Private Limited (CIN: U62099PB2026PTC068800) ("Operon", "we", "us"). By using our website or services you agree to these Terms.

1. Services

We provide software products and AI automation for businesses and organizations (each a "Client"), such as billing and payment-reminder tools, together with related services like workflow surveys and custom automations. Some products include an optional WhatsApp messaging feature, built on the WhatsApp Business Platform provided by Meta, that lets a Client send bills, payment reminders and notifications to their own customers or residents. The scope, fees and timelines of an engagement are set out in a separate proposal or order agreed with the Client.

2. WhatsApp and Meta integrations

• Connecting a WhatsApp Business Account to our platform is done by the Client through Meta's Embedded Signup. The Client confirms they have authority to connect that account and grant our app the permissions shown on Meta's consent screen.
• The Client's use of WhatsApp remains subject to the WhatsApp Business Terms, the WhatsApp Business Messaging Policy and Meta's Platform Terms. We are not responsible for Meta's changes to, or suspension of, its services or the Client's account.
• The Client is responsible for obtaining all required consent and opt-in from the people they message, for message content, and for complying with applicable law, including anti-spam and data-protection rules.
• The Client may disconnect our app at any time from Meta Business settings or by emailing us.

3. Acceptable use

You must not use our services to send unlawful, deceptive, harassing or unsolicited messages, infringe others' rights, interfere with or attempt to breach our systems, or violate Meta's or any other third party's policies.

4. Client data

Clients retain ownership of their data. They grant us a limited licence to process it solely to provide the services. Our handling of personal information is described in our Privacy Policy.

5. Intellectual property

We and our licensors own the software, tools, models and materials we provide, apart from Client data. Subject to payment, the Client receives a non-exclusive right to use deliverables for their internal business operations as specified in the engagement.

6. Fees

Fees are as agreed in the applicable proposal. Messaging fees charged by Meta (such as conversation or template charges) are separate from our fees and are the Client's responsibility unless agreed otherwise in writing.

7. Disclaimers

Our services are provided "as is" and "as available". AI-generated output may be inaccurate, and Clients should review it before relying on it. To the extent permitted by law we disclaim all implied warranties.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential loss, or loss of profits, data or goodwill. Our total liability for any claim is limited to the fees paid by the Client to us for the services in the three months before the claim arose.

9. Suspension and termination

Either party may end an engagement as set out in the applicable proposal. We may suspend access if these Terms or Meta's policies are breached or if required by law. On termination we handle data as described in our Privacy Policy.

10. Governing law

These Terms are governed by the laws of India. The courts at Punjab, India have exclusive jurisdiction over any dispute, subject to any agreed arbitration in the applicable proposal.

11. Changes

We may update these Terms and will change the "Last updated" date above. Continued use after an update means you accept the revised Terms.
